01About these terms
These terms govern business use of LeadTerminal at leadterminal.ai and app.leadterminal.ai. The service is provided by A1 Consulting Oy, Finland (“we”, “us”).
By using the service on behalf of an organisation, you confirm that you are authorised to act for it. Any separately agreed order or written agreement takes precedence where it expressly conflicts with these terms.
The service is intended for professional use, not use by children.
02The service
LeadTerminal helps teams research companies and professional contacts, organise lists, prepare outreach, connect sending accounts and manage campaigns and replies. Available features, usage limits and access depend on the arrangement agreed with you.
Data and AI-generated suggestions can be incomplete or inaccurate. You must review the recipients, content and settings before approving messages or relying on results.
We do not guarantee contact accuracy, email delivery, inbox placement, replies or business outcomes.
03Accounts and team access
Provide accurate account information and protect your sign-in credentials. Use individual authorised accounts and manage team access promptly when responsibilities change.
You are responsible for activity you authorise through your workspace and must notify us if you suspect unauthorised access. Do not bypass access controls, usage limits or another customer’s permissions.
04Lawful outreach and acceptable use
You are responsible for having a lawful basis to collect, import, use and contact each recipient, and for complying with applicable privacy, marketing and electronic-communications rules. Identify the sender accurately, provide required notices, honour objections and unsubscribe requests, and maintain appropriate suppression records.
Do not send spam, deceptive messages, phishing, malware, harassment or unlawful content. Do not use the service for surveillance of private individuals, unlawful profiling, discrimination, credential theft or interference with systems.
Do not resell the service’s database, scrape it outside authorised features or build a competing database from it without written permission.
05Email accounts and third-party services
Only connect accounts and domains you are authorised to use. Your approval of a campaign or send action authorises the configured delivery of those messages, including scheduled steps.
Google and Microsoft sending access is separate from any IMAP inbox access you configure. Providers may impose limits, require administrator approval, reject messages or withdraw access.
You must comply with their applicable rules. Disconnecting an account prevents future use of that connection but cannot recall delivered messages or delete copies held by recipients.
06Your content and data protection
You retain your rights in content you provide and give LeadTerminal permission to process it as needed to deliver, secure and support the requested service. You must have the necessary rights to upload and use it.
The privacy policy explains our data handling. Customers remain responsible for their own processing and outreach decisions.
Where LeadTerminal processes personal data on your behalf, a data processing agreement is required where applicable. Acceptance of these terms is not consent to every form of personal-data processing.
07AI assistance and intellectual property
AI-assisted outputs may contain errors, unsupported statements or material that is unsuitable for your purpose. You remain responsible for human review and the final messages you approve.
LeadTerminal and its licensors retain rights in the software, design and service database. Subject to your agreement and these terms, you receive a limited, non-exclusive right to use the service and permitted exports for your organisation’s business purposes.
No ownership of third-party data or software is transferred.
08Fees, cancellation and changes to access
Fees, billing periods, quotas and any minimum term are those expressly agreed with you. These terms do not create an additional fee or minimum commitment by themselves.
You may request cancellation by emailing info@leadterminal.ai; its effective date and any refund are governed by your agreement and applicable law. We may restrict or suspend access when reasonably necessary to address misuse, security risks, provider restrictions, non-payment of agreed fees or a material breach.
Where practicable, we will explain the issue and allow you to resolve it. Contact us about exporting or deleting your data before access ends.
Any recurring billing, automatic renewal, cancellation deadline and refund conditions must be stated in the order or subscription terms presented to you. A price change does not alter an already agreed billing period; future changes are subject to your agreement and applicable notice requirements.
09Claims arising from customer misuse
You will indemnify A1 Consulting Oy against damages and reasonable external legal costs awarded by a competent court, or agreed in a settlement you approve, arising from a third-party claim to the extent caused by your unlawful campaigns, content you supply that infringes another person’s rights, or your material breach of the lawful-outreach and acceptable-use obligations in these terms. This obligation does not apply to the extent a claim results from our breach, negligence or misconduct.
We must notify you promptly of the claim, take reasonable steps to limit loss and provide reasonable cooperation at your expense. You may control the defence with suitably qualified counsel, provided you act diligently and keep us informed; we may participate at our own expense.
Neither party may settle a claim in a way that admits fault by, imposes non-monetary obligations on, or fails to release the other party without that party’s written consent, which must not be unreasonably withheld. This clause does not transfer our own statutory obligations to you or require payment of penalties that cannot lawfully be indemnified.
10Availability and responsibility
We take reasonable care in operating the service, but maintenance, provider failures and other interruptions may occur. Unless separately agreed, no uninterrupted-availability commitment is provided.
To the extent permitted by law, neither party is liable for indirect or consequential losses, including lost profits, revenue or business opportunities. A1 Consulting Oy’s total aggregate liability arising out of or relating to the service or these terms, whether in contract, tort or otherwise, is limited to the fees paid or payable by you for the affected service attributable to the three months immediately preceding the first event giving rise to the claim.
Prepaid fees are allocated proportionately to the period they cover; if the service has been used for less than three months, only fees attributable to that shorter period count. For a wholly free account, the monetary cap is zero to the extent permitted by law.
Related claims are treated as arising from the same first event and do not create separate caps. These exclusions and limits do not apply to fraud, wilful misconduct, gross negligence or liability that cannot lawfully be excluded or limited.
They do not restrict individuals’ statutory data-protection rights or the powers of supervisory authorities. Nothing in these terms restricts rights or remedies that mandatory law protects.
11Updates and disputes
We may update these terms to reflect changes to the service or legal requirements. We will give reasonable advance notice of material changes, except where urgent security or legal reasons require a faster change.
A change does not retroactively alter an agreed order. Finnish law governs these terms, without removing mandatory protections that apply.
Please contact us first so we can try to resolve any dispute. If no resolution is reached, disputes may be brought before the competent courts of Finland.
